Unless otherwise expressly provided in a specific written document, all sales of Atelier Bonomi Srl products are governed by the following general conditions of sale, which constitute an essential part of the contract and are therefore deemed accepted by the Buyer even if not signed by the Buyer. Any unilateral clause included by the Buyer in the documents signed by the Buyer and/or in its correspondence, which is contrary to or in any way in addition to the following general conditions or to any special conditions expressly approved in writing by Atelier Bonomi Srl, is deemed unwritten and void.

EXPIRATION

All offers and quotations are valid for a period not exceeding thirty (30) days, unless otherwise expressly authorised. CONTRACT COMPLETION AND PRICES

The sale is deemed to be finalized upon written confirmation from the Seller or the commencement of deliveries. Agreed prices do not include additional services and charges (such as VAT, collection fees, draft and receipt issuance fees, postage, etc.) and are subject to change without notice. A minimum deposit is required for all orders. Custom orders require a 50% deposit. All our prices, unless otherwise agreed in writing, are for goods delivered ex-works, including packaging. Any commissions incurred are subject to our approval.

RETENTION OF TITLE AND TERMINATION OF THE CONTRACT

The Buyer acquires ownership of the goods only upon full payment of the price, including VAT, and any additional charges and expenses. Incomplete payment will entitle the Seller to request termination of the contract and return of the goods. Any amounts already paid will remain the Seller's property as compensation, without prejudice to the right to claim compensation for further damages. The goods travel at the Buyer's risk. The Buyer, at his/her own expense, must inspect the goods before collection and, in the event of damage, breakage, shortage, or theft, must address any complaints to the carrier.

DELIVERY

Delivery times are specified for each individual order and are not binding. Any delays in processing and/or delivering orders do not entitle you to cancel all or part of the order and/or claim damages. The delivery date is calculated from the date of receipt of the deposit and confirmation of all order specifications.

WARRANTY AND REPORTING OF DEFECTS

Any defects or non-conformities of the goods must be reported, in writing, by the Buyer to the Seller, always under penalty of forfeiture, within eight (8) days of receipt. The guarantee does not apply if the defects detected are attributable to the Buyer's negligence, or to circumstances that cannot be linked to manufacturing defects. The forwarding of replacement material is accepted only with prior written authorization from the company.

BUYER'S OBLIGATIONS

The Buyer must make payments promptly, using the methods and within the terms specified on the invoice. Late payments will be subject to interest at the rate established by law. In the event of late payments, the Seller has the right to immediately suspend all supplies, even if dependent on other contracts with the same Buyer. Failure to pay within the agreed terms will in any case result in the Buyer forfeiting the benefit of the term.

SAMPLES

Samples will be provided on a viewing basis. If not returned within 90 days, an invoice will be issued. The return must be accompanied by a shipping document containing our contact information.

LIABILITY AND ARBITRATION

The buyer agrees to indemnify Atelier Bonomi Srl from all claims, liabilities, costs and expenses due to or relating to death or injury arising out of or in connection with the sale or use of the goods purchased by the buyer or others.

APPLICABLE LAW AND JURISDICTION

The contract is governed by Italian law. Any disputes arising from or related to the sale shall be subject to the exclusive jurisdiction of the Court of Brescia. DESIGN AND DRAWINGS

The design and all technical drawings created by Atelier Bonomi Srl are the exclusive property of Atelier Bonomi Srl.

ACCEPTANCE

The Buyer hereby authorizes Atelier Bonomi Srl to supply the goods and/or work agreed upon in the offer/order and under the conditions set forth above. The Buyer agrees to pay the amount indicated in the offer/order according to the agreed terms.
